Terms of Service

1. Acceptance of Terms

By accessing or using ParseGenie ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. "Service" means the ParseGenie web application available at parsegenie.com and all related features and functionality.

2. Description of Service

ParseGenie is a software-as-a-service (SaaS) platform for invoice reconciliation. The Service:

  • Parses invoice CSV files and compares them against Shopify fulfillment data
  • Identifies discrepancies including shortages, overages, and unmatched line items
  • Exports reconciliation results for your review

Reconciliation results are informational only. You are responsible for reviewing and verifying all findings before taking any action.

3. User Accounts

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • Accounts are for individual use. Sharing account credentials is not permitted.

4. Anonymous Access

Limited functionality is available without creating an account through temporary 24-hour session tokens. Anonymous session data may be lost after the session expires. Anonymous users are subject to these same Terms.

5. Subscription Plans and Billing

  • Paid plans are available at the following monthly rates: Starter ($99), Growth ($249), and Scale ($499).
  • A 14-day free trial is available. No credit card is required to start.
  • Overage charges apply at $0.015 per line item beyond your plan's included limit, billed in blocks of 100 lines.
  • All billing is processed by Stripe.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • No refunds are provided for partial billing periods.

6. Acceptable Use

You agree not to:

  • Upload malicious, corrupted, or harmful files
  • Attempt to circumvent usage limits, rate limits, or security measures
  • Use the Service for any illegal purpose
  • Reverse-engineer, decompile, or scrape the Service
  • Interfere with the operation of the Service or its infrastructure

You retain full ownership of all files and data you upload to the Service.

7. Intellectual Property

ParseGenie and its original content, features, and functionality are owned by us and are protected by applicable intellectual property laws. Our name, logo, and trademarks may not be used without prior written consent. You retain all rights to the content you upload.

8. Third-Party Integrations

The Service supports integrations with third-party platforms such as Shopify. When you connect an integration:

  • You authorize us to access the data scopes you approve (read-only access).
  • You may revoke integration access at any time.
  • We are not responsible for the availability, accuracy, or operation of third-party services.

9. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

To the maximum extent permitted by law, ParseGenie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim.

We are not responsible for financial decisions made based on reconciliation results produced by the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless ParseGenie and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may cancel your subscription at any time. Upon termination, your data is subject to the retention policy described in our Privacy Policy.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction within the United States.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the email address associated with your account. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
